1. Independent contractor status The chef provides services as an independent contractor and not as an employee, partner, or agent of MMH. MMH does not guarantee booking volume, revenue, or minimum compensation.
2. Service, food, and compliance responsibility The chef is solely responsible for food preparation, food safety, ingredient and allergen accuracy, kitchen compliance, permits, licences, insurance, staffing, service standards, and all legal obligations connected to the chef's services.
3. On-platform bookings and payments All chef bookings, changes, communications relating to bookings, and all booking payments must be processed through MMH unless MMH expressly authorizes otherwise in writing.
4. Non-circumvention The chef agrees that, for a period of twelve (12) months following any interaction initiated through the MMH platform, the chef will not, directly or indirectly, solicit, accept, arrange, or complete any transaction with a customer introduced through MMH outside of the platform.
5. Breach consequences In the event of a breach of the non-circumvention obligations or other material payment-diversion conduct, MMH reserves the right to charge a penalty equal to twenty-five percent (25%) of the estimated transaction value, or a minimum of $1,000 CAD per occurrence, suspend or permanently terminate the chef account, and withhold outstanding payouts to the fullest extent enforceable by law.
6. Cancellations, refunds, and payouts Chef cancellations, customer cancellations, refunds, credits, and payout timing are governed by the current MMH operating and commercial rules. Placeholder for final commercial schedule after legal review: [insert final chef payout and cancellation schedule].
7. Reputation and platform standards MMH may use ratings, reviews, response times, issue history, and compliance signals to inform ranking, booking visibility, and platform access.
8. Suspension and tax responsibility MMH may suspend or terminate a chef for safety, food compliance, legal risk, fraud, repeated customer harm, or serious service failures. The chef is solely responsible for taxes, remittances, and business compliance obligations.
9. Survival The non-circumvention, payment-processing, tax, confidentiality, liability, and any accrued financial obligations survive termination of this agreement.
